Key Reporting Dates under the CTA

Understand when to file your initial BOIR and how to track your company's creation or registration.

The Corporate Transparency Act(CTA) became effective January 1, 2024. Now that the law is in effect, here are the important deadlines you need to know.

How do you know when your company was created or registered?

The date of creation or registration fora company is the earlier of the date on which:

  1. the reporting company receives actual notice that its creation (or registration) has become effective; or
  2. a secretary of state or similar office first provides public notice, such as through a publicly accessible registry, that the company has been created or registered.

In certain states, automated systems provide notice of creation or registration to newly created or registered companies. In other states, no actual notice of creation or registration is provided, and newly created companies receive notice through the public posting of state records. Stay apprised of creation or registration notices or publications and don’t wait until the last minute!

Finally, remember that updated or corrected BOIRs must be filed within 30 days of the date a change in previously reported information occurs or the inaccuracy was discovered.
